Rules and Stipulations

General Rules:

• The TP Rewards program is open to doctors in private practice only.
• TPO distributors cannot qualify for TP Rewards membership.
• Points are calculated on a calendar-year basis. After December 31, all point totals are reset to zero.
• Product returns will result in the deduction of points; therefore it is possible to incur negative point totals.
• Customers residing in France are ineligible to participate in the Rewards program.

Rules for Enrolling:

• All members (both new and current) must use the online enrollment process to register for the program. Current members must rE-enroll for 2006.
• Upon enrollment or rE-enrollment, all members will be eligible to receive a bonus
  E-coupon, worth $25 USD, at the end of the quarter in which they enrolled. Normal
  E-coupon rules apply to this bonus E-coupon.
• To receive E-coupons through emails, members must choose to opt-in on the web enrollment form, allowing TP Orthodontics permission to send emails to the email address provided.
• An accurate E-mail address must be provided to receive the E-coupon.

Rules for Earning Points:

• Points are earned from January 1 through December 31.
• There is no limit to the points that may be earned.
• Points are not transferable between TPO accounts.
• TP Rewards points accumulate once an order has been invoiced and shipped.

Rules for Earning E-Coupons:

• E-coupons will be earned through purchases placed online only.
• E-coupons will be issued on a quarterly basis. They will be distributed solely by E-mail. E-coupons will not be mailed or delivered by hand.
• The value of the E-coupon will be solely based on the member's previous quarterly online sales.
• Members must spend a minimum of $500 USD online per quarter to receive an E-coupon.
• The E-coupon will total 5% of the member's previous quarterly online spending, rounding the online sales to the lowest $500 increment.
• Only one E-coupon, based on the member's online point total, will be issued per member per quarter.
• Other E-coupons may be issued to a member through separate promotions and offers.

Rules for Redeeming E-Coupons:

• E-coupons may only be redeemed once per quarter.
• E-coupons expire 90 days from the time they are issued.
• Once an E-coupon is redeemed, its value cannot be returned.
• Only one E-coupon may be redeemed per online order.
• There is no minimum online purchase required to redeem an E-coupon.
• No E-coupon dollar amounts are carried over to the next purchase.
• E-coupon redemptions will deduct TP Rewards points from a member's remaining point total available for trip or account credit redemption.
• After all E-coupons are redeemed, remaining points can be used for a trip or account credit if a minimum level of 30,000 points remains. Normal redemption rules for trips and credits apply.
• Year-end trip or account redemption nulls or voids any outstanding quarterly E-coupon.

Rules for Redeeming Points for Account Credit or Travel:

• Members must reach a minimum of Silver level (30,000 points/year) status to redeem points for account credit or travel.
• Account credit will be given only in 5,000 point increments once the 30,000 point level is attained. TP Rewards points will be rounded down to the nearest 5,000 points.
• Account must be in good standing before reservations are made to travel with TP Rewards.
• Points can only be redeemed for either a travel or account credit, not both.
• All points redeemed for account credit or travel must be processed by December 31 of the current year.
• All unredeemed points will expire after December 31 and cannot be recovered.
• Travel packages are transferable and may be given to friends, family, staff or colleagues based on availability at the time of redemption.
• Points may be split between two travel options if there are enough points accumulated to qualify both redemptions.
• All travel arrangements are made through a travel agency appointed by TPO.
• If you redeem for a trip, account credit of $500 USD will be issued to your TPO account to offset your flight cost.
• Points cannot be returned to your account once redeemed. Cancellation of trips results in loss of points.
• Once a trip is redeemed, no account credit will be given for any points that may remain.

TPO reserves the right to disqualify member participation at its sole discretion. Rules and conditions of the program are subject to change without notice. Other restrictions to this program may apply.

Welcome to TP Rewards, which is owned and operated by T.P. Orthodontics, Inc. The following terms and conditions form the agreement ("Agreement") between you and T.P. Orthodontics, Inc. and its affiliates ("the Company"). By use of the TP Rewards program, you agree to read the terms and conditions and agree to the following:

Agreement to Terms:
By use of the Rewards program, you tacitly agree to the terms of the Rewards program. If you do not agree to the terms and conditions of the TP Rewards program, do not participate in the TP Rewards program.

Change of Terms:
The Company reserves the right to change, modify, alter, amend, terminate, or remove any portion of the TP Rewards program at its sole discretion. Such change and/or alteration of the TP Rewards program may occur without notice from the Company.

Use of information:
The Company may monitor your use of the TP Rewards program. You may receive solicitations and offers via E-mail based upon your ordering and product use. Any information collected will be used pursuant to the T.P. Orthodontic's privacy statement www.tportho.com.

Use of Company Information and Copyright Protection:
The Company's TP Rewards Program is a compilation and/or collective work of the Company's efforts and expenditure pursuant to the copyright laws of the United States and other international laws and conventions. No information, pictures, logos, language, or any other information may be used without prior written consent of T.P. Orthodontics, Inc.

No Warranty:
There is no warranty of any kind whatsoever with regard to the TP Rewards program. The Company hereby disclaims any and all warranties of any kind including but not limited to, non-infringement, merchantability, fitness for a particular purpose, content, or any errors within the program.

Indemnification:
By participating in this program, you hereby agree to indemnify T.P. Orthodontics, Inc., its officers, directors, owners, agents, employees, licensees from all liability of any kind in connection with claims arising out of breach of contract, tort (no matter if the Company is found to be negligent or not). You agree to defend and/or cooperate in the defense of any claim against the Company arising out of or connected with this program.

Entire Agreement:
The terms and conditions mentioned above, as well as the Privacy Statement, constitute the entire agreement between the parties. This agreement shall be governed, considered executed, and subject to the laws of the State of Indiana. In case of a dispute, the parties consent to the jurisdiction of Indiana, without regard to conflicts of laws.
